The Challenge

Woolworths Group embarked on a major transformation: the demerger of its retail drinks and hospitality business, Endeavour Group, to create two independent, publicly listed companies. This was a highly complex and significant transaction, one of the largest in Australian corporate history.

The demerger process required a meticulous approach across multiple workstreams to ensure a successful separation. This included:

  • Logical and Physical IT Separation: A huge amount of effort was needed to separate IT systems, particularly because Woolworths would continue to provide shared services to Endeavour, which was now a future competitor in key areas like merchandise and property.
  • Process and Testing: Extensive process design and business-focused testing were required to ensure that Woolworths could continue to provide partnership services after the IT systems were separated.
  • Transitional and Commercial Agreements: A new set of transitional and commercial agreements, known as “Partnership Agreements,” had to be created. These agreements were essential for maintaining operational continuity and a mutually beneficial relationship between the two entities post-demerger. They covered crucial areas such as supply chain, IT, loyalty programs, digital platforms, and international distribution.
